HotDog CMS Contributor Agreement

Version 1.0

Thank you for contributing to HotDog CMS. This agreement sets out the terms of your contribution to Coffey Labs LLC, an Arizona limited liability company ("Coffey Labs"), which maintains the project. It's a license, not a transfer: you keep the copyright in your work, and you can use it however you like.

You accept it by following the steps in How to sign. It then covers every Contribution you make to the project from that point on.

1. Definitions

  • "You" means the person or legal entity accepting this agreement. If you're an entity, "You" includes any entity that controls, is controlled by, or is under common control with you.
  • "Contribution" means any work of authorship (code, documentation, designs, templates, translations or anything else) that You submit to Coffey Labs for inclusion in HotDog CMS. That includes a pull request, patch, issue attachment or message on a project channel. Something you clearly mark "Not a Contribution" isn't one.
  • "Project" means HotDog CMS and the other software and documentation that Coffey Labs maintains in the same repositories.

You grant Coffey Labs, and recipients of software it distributes, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute Your Contributions and derivative works of them.

The license includes the right to distribute Your Contributions under licenses other than the one the Project uses when you contribute.

3. Patent license

You grant Coffey Labs, and recipients of software it distributes, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated here) patent license to make, have made, use, offer to sell, sell, import and otherwise transfer Your Contributions.

It covers only the patent claims You can license that are necessarily infringed by Your Contribution alone, or by its combination with the Project as it was when You contributed.

If anyone brings patent litigation (including a cross-claim or counterclaim) alleging that the Project or a Contribution infringes a patent, the patent licenses granted to them under this agreement end on the date that litigation is filed.

4. What Coffey Labs promises in return

  • It stays open source. Coffey Labs will keep every Contribution it distributes available to the public under the license the Project used when You contributed, or under another license approved by the Open Source Initiative. Section 2 lets Coffey Labs also offer the Project under other terms, such as a commercial license or a hosted service. It doesn't let Coffey Labs take Your Contribution out of the open-source Project.
  • Credit. Coffey Labs will keep the record of who contributed what that the Project's git history provides.
  • Successors are bound. If Coffey Labs transfers the Project, this agreement and the promises in this section go with it.

5. What You promise

  • It's Yours to give. Each Contribution is Your original work, or You have the right to submit it under this agreement. If You include anyone else's work, You say so in the Contribution, with its source and license.
  • Your employer agrees. If an employer or anyone else has rights in what You create, You have their permission to make Contributions on their behalf under this agreement, or they have waived those rights for Your Contributions. An entity can sign for its employees: see How to sign.
  • You'll tell us. If You learn that any of this is no longer true, You will tell Coffey Labs at [email protected].

6. No obligations, no warranty

Coffey Labs doesn't have to use any Contribution. You don't have to support Your Contributions. Unless You agree otherwise in writing, You provide them "as is", without warranties or conditions of any kind, including those of title, non-infringement, merchantability or fitness for a particular purpose.

7. General

  • This agreement is governed by the laws of the State of Arizona, without regard to its conflict-of-law rules.
  • If any part of it is held unenforceable, the rest stays in effect.
  • It's the whole agreement between You and Coffey Labs about Your Contributions. A later version applies only to Contributions You make after You accept that version.

How to sign

As an individual: in your first pull request, add a line to CONTRIBUTORS.md with your name and the email address you commit with, in a commit of its own whose message says:

I agree to the HotDog CMS Contributor Agreement, version 1.0.

Sign off that commit (git commit -s). Your later pull requests need nothing more.

For an entity (a company whose employees contribute as part of their work): email [email protected] from someone who can bind the company. Name the company, say that it accepts this agreement for its employees' Contributions, and list the people and email addresses it covers. Each of them then adds their line to CONTRIBUTORS.md with the company named.
